These Terms of Use (hereinafter the “Terms”) govern access to and use of the website www.solya.io (hereinafter the “Website”), operated by Solya Technologies, a Simplified Joint Stock Company (SAS) registered with the Commercial Court of Casablanca under number 683151, with its registered office located at Casablanca Marina, Crystal Building 1, 10th Floor, Almohades Avenue, Casablanca, 20000, (hereinafter “Solya”).

By accessing the Website and submitting your email address, you acknowledge that you have read, understood, and unconditionally agreed to these Terms.

ARTICLE 1 – PURPOSE

The Website’s sole purpose is to present the Solya project, a digital financial solution under development, and to allow users to join a waitlistby voluntarily submitting their email address.

The Website does not offer any financial, banking, payment, or regulated services as defined by Moroccan or European regulatory frameworks. No account opening, payment transaction, or fundraising is possible through this site.

ARTICLE 2 – ACCESS TO THE WEBSITE

The Website is freely accessible to any person with an internet connection.

Users are solely responsible for:

  • Their technical means of access (internet connection, devices, browser).
  • The compatibility of their environment with the Website.
  • The protection and security of their own equipment.

Solya reserves the right to temporarily or permanently suspend access to the Website without prior notice or compensation, especially for maintenance, updates, or force majeure.

ARTICLE 3 – WAITLIST REGISTRATION

Users may provide their email address via the Website form to be notified of Solya’s launch.

This registration:

  • Is free, optional, and non-contractual.
  • Does not constitute account creation or any commitment by Solya.
  • May be cancelled at any time upon request via email.

Solya reserves the right to remove any email from the waitlist that appears fraudulent, inactive, or non-compliant.

ARTICLE 4 – PROCESSING OF PERSONAL DATA

Controller

The controller is Solya Technologies, a Société par Actions Simplifiée (SAS) registered with
the Casablanca Commercial Register under number RC 683151, registered office: Crystal
Building, 16th floor, Avenue des Almohades, Casablanca, Morocco.

1. Data collected

The personal data collected include: first and last name, email address, phone number, identification data (CIN, date of birth), login information, financial and transactional data, as well as information required to meet Solya’s legal and regulatory obligations.

2. Purposes of processing

Data are processed for the following purposes:

• Managing waitlist sign-ups and communications about the launch of Solya.

• Providing and managing the financial services offered by Solya.

• Complying with legal and regulatory obligations (including anti-money laundering and counter-terrorist financing – AML/CFT).

• Continuous improvement of services and personalization of the user experience.

3. Legal basis

Processing is based on:

• The explicit consent of users at sign‑up and when using the services.

• Contract performance for clients who have opened an account.

• Compliance with legal and regulatory obligations applicable to financial institutions.

4. Retention period

Data are retained only for as long as necessary for the purpose for which they were collected:

• KYC and financial data: contractual relationship + 10 years (regulatory obligations).

• Contact data (email, phone): contractual relationship + 5 years.

• Waitlist-related data: maximum 12 months.

• Technical logs: maximum 2 years.

5. Data recipients

Data are intended for Solya’s internal teams and its technical processors and contracted partners, all of whom are bound by strict confidentiality and security obligations.

6. International data transfers

Certain non‑sensitive data (technical identifier, amount, transaction category) may be transferred to countries authorized by the CNDP within the European Union after encryption and anonymization.

No sensitive data are transferred outside Moroccan territory.

7. Users’ rights

In accordance with Law 09‑08 on the protection of personal data, every user has the following rights:

• Access to their data,

• Rectification or update,

• Erasure when data are no longer necessary,

• Objection to processing on legitimate grounds.

ARTICLE 5 – INTELLECTUAL PROPERTY

All content available on the Website (texts, visuals, logos, domain names, layout, databases, audio-visual content, source code) is the
exclusive property of Solya Technologies or is properly licensed.

Any reproduction, use, modification, extraction, or distribution, in whole or in part, without Solya’s prior written consent is strictly prohibited and may result in legal
action.

Solya strictly adheres to all applicable Moroccan and international intellectual property laws, including in digital environments.

ARTICLE 6 – LIABILITY

Solya strives to maintain reliable, secure, and updated access to the Website, but:

  • Does not guarantee a bug-free or uninterrupted experience.
  • Is not responsible for any inaccuracies or outdated content.
  • Does not provide legal, tax, or financial advice via the Website.

Solya shall not be held liable for any direct or indirect damages (data loss, business interruption, reputational harm) resulting from the use of or inability to use the
Website.

ARTICLE 7 – TECHNICAL SECURITY

Solya maintains a proactive cybersecurity policy, including:

  • Continuous monitoring of its technical infrastructure.
  • Regular vulnerability assessments.
  • Restricted and logged data access protocols.

Nevertheless, users acknowledge that no system is infallible and that they remain responsible for securing their own devices and networks.

The Website may contain links to third-party sites. These links are provided for convenience only. Solya has no control over these external sites and disclaims all
responsibility for their content, operations, or data practices.

ARTICLE 9 – AMENDMENTS TO THE TERM

Solya may amend these Terms at any time without prior notice. The applicable version is the one published on the Website at the time of access.

In case of material changes, registered users will be notified by email.

ARTICLE 10 – GOVERNING LAW AND JURISDICTION

These Terms are governed by Moroccan law.

Any dispute regarding the interpretation or execution of these Terms shall fall under the exclusive jurisdiction of the Courts of Casablanca, unless otherwise
required by law.
